Welcome to the websites and online services of TickerArt, Inc. (“TickerArt,” “we,” “our,” or “us”), including www.tickerart.ai, www.tickerart.xyz, and related pages (collectively, the “Site”). By accessing or using the Site, you signify that you have read, understood, and agreed to be bound by these Terms of Use (“Terms”). If you do not agree, please do not use the Site.

We may update these Terms at any time by posting the amended version on the Site and updating the “Last Updated” date above (or by notifying you via email where appropriate). Your continued use of the Site after any changes become effective constitutes your acceptance of the updated Terms. We may, in our sole discretion, add, remove, or change features of the Site at any time.

These Terms incorporate by reference our Privacy Policy (available on the Site). If you violate these Terms or any other agreement with us, we may terminate or suspend your access to the Site at any time, with or without notice.

As used herein, “User” or “Users” means anyone who accesses and/or uses the Site.

1. Description of the Services

Subject to these Terms and as described in our Privacy Policy, the Site provides information about TickerArt’s practice and projects, including generative art exhibitions, immersive installations, NFTs, and related initiatives. The Site may also include ecommerce or token-related features through TickerArt.xyz (e.g., NFT drops, physical edition claims), links to third-party platforms, and contact channels.

2. Collection of Personal Data

To contact us, request information, subscribe to updates, or participate in Site features, you may be asked to provide personal data. How we collect, use, and share data is described in our Privacy Policy.

By providing information, you agree to: (i) these Terms; (ii) provide true, accurate, current, and complete information; (iii) promptly update such information as needed; and (iv) be responsible for all activities that occur in connection with your use of the Site.

If you provide information that is untrue, inaccurate, not current, or incomplete, or we have reason to believe so, we may suspend or terminate your access.

3. Eligibility

The Site is intended for Users who are at least 18 years old or the age of majority in their jurisdiction. By using the Site, you represent and warrant that you meet this requirement and agree to these Terms. Any registration data (if available) is non-transferable.

4. Proprietary Rights

We retain all rights, title, and interest in and to the Site and all content provided on or through it, including artworks, images, videos, text, audio, installations, environments, graphics, designs, software, data, documentation, catalogs, and their selection and arrangement (collectively, “Proprietary Content”). We also retain all intellectual property rights in any processes, methods, technologies, and know-how used in or described on the Site (collectively, “Intellectual Property”).

Except as expressly permitted in writing by TickerArt, no Proprietary Content may be copied, modified, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold, in whole or in part. Nothing in these Terms grants any license to our Intellectual Property.

5. Content of Site; Availability

We strive for accuracy but do not guarantee that Site information is accurate, complete, current, or error-free. Any reliance on Site material is at your own risk. We may modify, suspend, or discontinue the Site at any time without liability and have no obligation to update content.

6. Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not (and you agree not to enable or assist others to):

  • Use the Site in a manner that could damage, disable, overburden, or impair it;
  • Attempt unauthorized access to the Site or related systems/networks;
  • Create accounts by automated means or under false pretenses;
  • Transmit malware, viruses, worms, or other harmful code;
  • Defame, abuse, harass, stalk, threaten, or violate others’ rights;
  • Upload or transmit unlawful, infringing, obscene, or inappropriate content;
  • Upload or transmit content that violates another’s intellectual property without permission;
  • Interfere with the proper working of the Site;
  • Impersonate another person or entity, or misrepresent your affiliation;
  • Remove or alter copyright, trademark, or other proprietary notices;
  • Use the Site in violation of applicable laws or regulations; or
  • Use the Site for commercial purposes other than your personal, non-commercial use unless expressly authorized.

7. NFT / Wallet / Third-Party Platforms (if applicable)

If you use TickerArt.xyz or linked platforms for NFT-related experiences:

  • Non-Custodial: TickerArt does not custody digital assets. You are solely responsible for securing your wallet, seed phrase, and private keys.
  • Blockchain & Fees: On-chain transactions are irreversible and may require network fees (“gas”) payable to third-party networks, not TickerArt.
  • Market Risk: Digital assets are volatile and may lose value. You assume all risks of purchasing, selling, or holding NFTs.
  • No Investment Advice: NFTs are sold as creative works and collectibles, not financial instruments. Nothing on the Site is investment advice.
  • Third Parties: Certain experiences are facilitated by third-party marketplaces, payment processors, or wallet providers. Your use of those services is subject to their terms.

8. Disclaimers

Some Site features (including NFTs and physical editions) may require fees. Payments are processed through third-party providers, and TickerArt does not directly handle payment credentials. All sales are final unless otherwise stated in the specific offering.

9. Disclaimers

You understand that Internet communications may traverse various networks and may be reformatted or adapted to technical requirements. We cannot guarantee the security or integrity of data transmitted to or from the Site. You transmit information at your own risk.

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all implied warranties, including but not limited to non-infringement, merchantability, and fitness for a particular purpose.

We do not warrant that the Site will meet your requirements, be uninterrupted, timely, secure, accurate, or error-free, or that defects will be corrected. Operation may be affected by factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TICKERART OR ITS EMPLOYEES, AGENTS, DIRECTORS, OFFICERS, PARTNERS, OR SHAREHOLDERS BE LIABLE FOR:
(1) LOST, DELETED, CORRUPTED, OR INACCURATE DATA;
(2) DAMAGE TO DEVICES OR SYSTEMS;
(3) LOST PROFITS OR SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; OR
(4) THE COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow exclusions/limitations of certain damages, so the above applies to the fullest extent permitted.
TickerArt’s aggregate liability for any claims arising out of or relating to the Site or these Terms shall not exceed US $100.

11. Indemnity

You agree to defend, indemnify, and hold harmless TickerArt and its employees, agents, directors, officers, and shareholders from claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from: (i) your use or misuse of the Site; (ii) your breach of these Terms; or (iii) your violation of law or third-party rights.

12. Termination

We may, in our sole discretion and without liability or prior notice, suspend or terminate your access to the Site for any reason. Upon termination, we may delete or retain data associated with your use of the Site at our discretion.

13. International Use

We make no representation that the Site is appropriate or available outside the United States. If you access the Site from elsewhere, you do so at your own risk and are responsible for compliance with local laws.

14. Trade Compliance

You agree not to use the Site or purchase NFTs in violation of U.S. export control or sanctions laws.


15. Trade Compliance

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California for any disputes arising out of or relating to these Terms or the Site.

Before filing any legal action, the parties will make good-faith efforts to resolve disputes. If unresolved within 45 days of written notice (sent via certified mail or personal delivery), the parties agree to attempt mediation in Los Angeles, California with a mutually agreed mediator. If you bring claims without first attempting mediation, you will not be entitled to recover attorneys’ fees (even if otherwise available).


16. Assignment

We may assign these Terms at any time. You may not assign or transfer these Terms without our prior written consent. If any provision is deemed unenforceable, the remainder remains in effect. Sections 3–16 survive termination.
